General Terms and Conditions

1. Confidentiality

Fusionlancers Technologies and its team will ensure that confidentiality of customer’s data / information etc. are always maintained and the contract will be executed in the right spirit and with high professional approach.

2. Limitation of Liability

Fusionlancers Technologies is committed to provide quality support as per the Scope defined in this document.

Fusionlancers Technologies accepts no liability monetary or otherwise.

3. Non-Hire Clause

Neither Fusionlancers Technologies nor Customer will employ each other’s staff till one year after completion of

this contract either directly or indirectly. Neither company will approach either directly or through

consultants each other’s personnel for employment.

i) Absorption Clause: If the Customer absorbs any resources from Fusionlancers Technologies into the

Customer’s payroll or transfers them to any competitor working for the same Customer within six (6)

months of the resource’s engagement with the Customer, the following term shall apply:

ii) Hiring Cost: The Customer shall be liable to pay Fusionlancers Technologies a hiring cost equivalent to 8.33%

of the annual Cost to Company (CTC) of the absorbed resource.

Jurisdiction

The courts of the West Bengal State only shall have Jurisdiction to deal with and decide any legal matters or

disputed whatsoever arising out of the contract.

Arbitration

Any disputes or differences, which may arise out of this contract, cannot be settled an amicable between the

contracting parties shall be settled by arbitration. The arbitration shall be conducted in accordance with the

arbitration and conciliation act and the venue will be in Mumbai.

Force Majeure

Fusionlancers Technologies will not be responsible for non-availability services or and any defects occurring due to

physical damage / short circuits caused by any kind of natural calamities that may be out of control or preview.

Termination

Either of the parties, i.e. Fusionlancers Technologies or Customer can terminate the contract by giving a written

notice minimum of 3 months period.
